Dropship Program Terms & Agreement

Majestic Pet Products, Inc. (Texas)

This Dropship & Authorized Website Reseller Agreement (“Agreement”) is entered into between Majestic Pet Products, Inc., a Texas corporation (“Supplier,” “Majestic,” “we,” “us”), and the applying business (“Reseller,” “you,” “your”).

By submitting the Dropship Registration Form and/or placing dropship orders with Majestic Pet Products, Inc., you acknowledge that you have read, understood, and agree to all terms listed below.

1. Purpose

Majestic Pet Products, Inc. manufactures and distributes pet products (“Products”). This Agreement allows Reseller to offer Majestic Products for resale through approved dropshipping terms.

2. Authorization

Majestic grants Reseller permission to sell Majestic Products as an Authorized Website-Only Reseller, subject to the terms of this Agreement.

This Agreement is non-exclusive. Majestic reserves the right to sell Products through any other channel at its discretion.

3. Approved Sales Channel (Website Only)

Reseller is authorized to sell Majestic Products only on Reseller’s owned and operated website.

This authorization applies only to the website domain provided during registration and approved by Majestic.

4. Prohibited Sales Channels (Strictly Forbidden)

Reseller is strictly prohibited from selling, listing, advertising, or distributing Majestic Products on any third-party marketplaces or platforms, including but not limited to:

  • Amazon

  • eBay

  • Walmart Marketplace

  • Target Plus

  • Wayfair

  • Chewy

  • Etsy

  • Overstock

  • Sears

  • Wish

  • Temu

  • AliExpress

  • Facebook Marketplace

  • TikTok Shop

  • Any auction site, resale platform, or third-party marketplace

Violation of this section is considered a material breach of this Agreement and may result in immediate termination.

5. Dropship Order Fulfillment

Majestic will fulfill approved dropship orders shipped directly to Reseller’s customers under the following conditions:

  • Orders must be submitted through Majestic’s approved ordering process

  • Standard processing time is approximately 3–4 business days, excluding weekends and holidays

  • Shipping timelines may vary based on production volume, carrier delays, and seasonal demand

Majestic reserves the right to refuse or cancel any order at its discretion.

6. Minimum Advertised Price (MAP) Policy

Reseller agrees to follow Majestic’s Minimum Advertised Price (MAP) requirements at all times.

Reseller may not advertise or promote Majestic Products below the minimum price set by Majestic, including but not limited to:

  • Website product pricing

  • Discount codes

  • Promotions or “flash sales”

  • Bundles or gift offers that reduce the advertised price below MAP

Majestic reserves the right to update MAP pricing at any time.

Failure to comply with MAP policy may result in account suspension or termination.

7. SKU Requirements & Listing Protection (Anti-Scraping Policy)

To protect Majestic marketplace listings and prevent scraping or catalog conflicts, Reseller agrees to the following:

Reseller Must Use Their Own SKUs

Reseller must use its own internal SKU numbers for all listings.

Reseller is prohibited from using:

  • Majestic internal SKUs

  • Amazon ASIN references

  • Majestic marketplace product identifiers

No Copying of Marketplace Listings

Reseller may not copy or replicate Majestic’s Amazon product titles, bullet points, descriptions, A+ content, or listing structure.

UPC / Product Code Restrictions

Majestic reserves the right to restrict UPC sharing if UPC usage may create marketplace conflicts.

8. Intellectual Property & Brand Use

Majestic retains full ownership of all trademarks, logos, product images, product designs, packaging, and marketing content (“Intellectual Property”).

Reseller is granted limited permission to use Majestic branding only for the purpose of selling Products on their approved website.

Reseller may not alter Majestic logos, trademarks, or brand materials without written approval.

9. Customer Service Responsibility

Reseller is responsible for all customer service communications, including:

  • order updates

  • returns and exchanges

  • product inquiries

  • refunds or customer disputes

Reseller must represent Majestic Products accurately and professionally.

10. Returns, Refunds, and Chargebacks

Reseller agrees to follow Majestic’s return policies as communicated separately.

Reseller is responsible for any chargebacks, fraud claims, or customer disputes related to Reseller transactions, unless caused solely by Majestic fulfillment error.

11. Confidentiality

All Majestic pricing, dropship terms, product details, and internal policies are confidential. Reseller may not share Majestic confidential information with any third party.

This confidentiality obligation remains in effect even after termination.

12. Termination

Majestic may terminate this Agreement at any time for violation of any terms, including but not limited to:

  • selling on prohibited marketplaces

  • violating MAP policy

  • using Majestic SKUs or copying marketplace listings

  • actions that harm Majestic’s brand or marketplace accounts

Majestic reserves the right to immediately suspend fulfillment and cancel pending orders.

13. Agreement Acceptance

By submitting the Dropship Registration Form, creating a dropship account, or placing an order, Reseller confirms that they have reviewed and agree to all terms listed above.
